MSC Income Fund, Inc. (NYSE: MSIF) reported third quarter 2026 net investment income of $14.4 million, or $0.32 per share, the Houston-based business development company said on November 5, 2026. That is down $0.03 per share, or 9%, from $0.35 in the same quarter a year earlier. Net asset value rose to $16.56 per share as of September 30, 2026, up $0.05, or 0.3%, from $16.51 at June 30 and up $0.71, or 4.5%, from $15.85 at December 31, 2025.
Context — why the quarter matters for private credit
The fund's $2.2 million year-over-year decline in net investment income traces to two lines the company flagged: total expenses, net of waivers, rose $1.8 million, or 9.6%, to $20.1 million, and NII-related tax expenses climbed $0.6 million. Total investment income was nearly flat at $35.5 million, up just $0.2 million from $35.4 million.
Within that expense increase, the company said interest expense rose $1.3 million, the ending accrual for the accrued capital gains incentive fee rose $0.9 million, and base management fee rose $0.5 million, partly offset by a $0.8 million decrease in incentive fee on income, net of waivers. The fund's ratio of total non-interest operating expenses, excluding incentive fees and net of waivers, to quarterly average total assets came in at 1.9% annualized, down from 2.0% a year earlier.
The company said the higher interest expense reflected larger average borrowings used to fund portfolio growth plus a higher weighted-average rate on unsecured debt after the May 2029 Notes and September 2029 Notes were issued. Floating benchmark rates on the credit facilities moved the other way.
Return on equity was 9.7% annualized for the quarter, versus 14.6% a year earlier, and 12.3% for the trailing twelve months ended September 30, 2026. The fund declared regular monthly dividends of $0.11 per share for each of October, November and December 2026, plus a $0.03 supplemental dividend payable in December, for $0.36 total declared in the third quarter.
Data — what the numbers show
Adjusted net investment income, which strips out the capital gains incentive fee accrual, was $15.3 million, or $0.34 per share, down from $0.35 a year earlier. Adjusted net investment income before taxes was $16.3 million, or $0.36 per share, matching the prior-year quarter's $0.36.
| Metric | Q3 2026 | Q3 2025 | Change |
|---|---|---|---|
| Total investment income | $35.5M | $35.4M | +$0.2M |
| Net investment income | $14.4M | $16.6M | -$2.2M |
| NII per share | $0.32 | $0.35 | -$0.03 |
| Net increase in net assets | $18.1M | $26.5M | -$8.4M |
| Return on equity, annualized | 9.7% | 14.6% | -4.9 pts |
The $18.1 million net increase in net assets from operations, or $0.40 per share, fell $8.4 million from a year earlier. The company attributed most of that gap to a smaller net fair value increase: $5.2 million this quarter versus $11.2 million in the third quarter of 2025.
The $5.2 million figure nets $9.0 million of unrealized appreciation against $3.9 million of realized losses. Realized losses included $9.4 million on a private loan restructure, $6.4 million on a full exit of a lower middle market investment, $0.5 million on a partial private loan exit and $0.4 million on a middle market exit. Those were partly offset by an $11.0 million realized gain on the full exit of a private loan investment in Core Transformers, a $0.7 million gain on a partial exit of an other portfolio investment and a $0.6 million gain on a distribution.
Analysis — what it means for credit markets and the shares
The portfolio mix shifted toward private loans: at fair value the book was roughly 61.2% private loan, 36.5% LMM, 1.4% middle market and 0.9% other. The private loan book held 81 companies at $843.8 million fair value against $849.6 million cost, with a 10.5% weighted-average annual effective yield and 99.5% of debt investments secured by first-priority liens.
The LMM book held 53 companies at $503.0 million fair value against $388.1 million cost, a 12.7% weighted-average yield, with 99.9% of debt first-lien secured. The gap between fair value and cost in that segment reflects accumulated appreciation rather than current-quarter marks.
A counter-argument sits in the realized loss line. The $9.4 million restructure loss shows that not every private credit position resolves at par, and the fund's net realized loss position means the fair-value gains are partly reversal of prior-period write-downs rather than new value creation. Investors weighing the 9.7% annualized return on equity against the 14.6% prior-year figure should note the denominator also shrank: weighted-average shares outstanding fell 4.2%, mainly on buybacks.
On capital structure, the fund issued $75.0 million of 6.83% unsecured notes due September 30, 2029, the first of two $75.0 million tranches under a $150.0 million private placement, and an additional $75.0 million was issued in October 2026 under the same agreement. The fund carried $150.0 million of 4.04% October 2026 Notes maturing October 30, 2026, $150.0 million of 6.34% May 2029 Notes, $248.0 million drawn on the SPV facility at 6.3% and $24.0 million on the corporate facility at 6.0%. Debt-to-equity was 0.86x.
Outlook — what to watch next
The October 2026 Notes mature on October 30, 2026, and the fund said it reserved $75.0 million of liquidity to repay them at maturity. Aggregate liquidity stood at $224.7 million at quarter-end, comprising $27.3 million of cash and $197.4 million of unused capacity across the two credit facilities.
Nick Meserve takes over as chief executive effective November 9, 2026, with current CEO Dwayne Hyzak moving to executive chairman. The company said Meserve heads the private credit investment strategy for Main Street and has been a managing director since 2012.
The share repurchase plan runs from September 2026 through February 2027 and covers up to $20.0 million of shares, triggered when the market price trades below the most recently reported net asset value by pre-determined levels. KBRA reaffirmed a BBB- issuer and senior unsecured rating with a stable outlook in October 2026. The company did not disclose the pre-determined repurchase thresholds.
Frequently Asked Questions
What does the difference between net investment income and adjusted net investment income mean?
The $0.02 per share gap between NII of $0.32 and adjusted NII of $0.34 reflects a $0.9 million capital gains incentive fee accrual booked in the quarter. That accrual rose because the portfolio's net fair value appreciated. Adjusted NII before taxes of $0.36 also strips out tax expenses included in NII, which the company said rose $0.6 million year over year on higher taxable NII and excise tax.
Why did MSC Income Fund's return on equity drop to 9.7%?
The company attributed the decline from 14.6% to lower net investment income and a smaller net fair value increase, $5.2 million versus $11.2 million a year earlier. Higher interest expense on larger borrowings and costlier unsecured notes also weighed. The fund's weighted-average share count fell 4.2%, which lifts per-share figures but does not offset the absolute earnings decline.
What happens to the October 2026 Notes at maturity?
The $150.0 million of 4.04% October 2026 Notes mature on October 30, 2026. The fund said it reduced facility capacity by $75.0 million to provide for scheduled repayment at maturity, after accounting for the additional September 2029 Notes issuance. The company did not state how the remaining balance will be funded beyond the $224.7 million of aggregate liquidity reported at quarter-end.
Bottom Line
MSC Income Fund's earnings fell year over year, but NAV growth, a lower expense ratio and a repriced debt stack held the quarter together.
