Diodes Incorporated (Nasdaq: DIOD) reported third-quarter 2026 revenue of $532.6 million on 5 November 2026, a quarterly record and a 35.8% increase from $392.2 million a year earlier. Non-GAAP diluted earnings per share reached $1.18, up 219% from $0.37 in the same quarter of 2025. GAAP EPS was $0.95 against $0.31 a year ago. The Plano, Texas-based chipmaker also guided fourth-quarter revenue to approximately $550 million, plus or minus 3%, and non-GAAP gross margin to 37.0%.
Context — why Diodes' record quarter matters now
The company framed the quarter as the payoff from capacity investments made over the past year. Chief executive Gary Yu said the resulting increase in loading at Diodes' manufacturing facilities benefited gross margin alongside product mix and pricing improvements. That combination — volume, mix and pricing moving together — is what separates this quarter from a simple demand rebound.
The report gives its own comparison points. Revenue rose 19.5% from the $445.5 million booked in the second quarter of 2026. GAAP gross margin of 36.1% was 540 basis points above the 30.7% recorded in the third quarter of 2025 and 300 basis points above the prior quarter's 33.1%. Those are sequential and year-over-year gains in the same direction.
Diodes competes in analog and power semiconductors, selling into automotive, industrial, computing, consumer electronics and communications markets. The company said record automotive revenue came from continued market share gains, while broad industrial demand strengthened and AI ecosystem applications drove record computing revenue.
The acquisition of ElevATE Semiconductor, a supplier of high-performance integrated circuits for the automated test equipment market, closed in the quarter. Diodes also completed a private placement of $375 million in 0.00% convertible senior notes due 2031. Both moves expand the balance sheet and product reach at the same time as operating use improves.
The report's own guidance history is the clearest catalyst chain: capacity came online, factory loading rose, margin expanded, and management now projects further sequential margin improvement in the fourth quarter.
Data — what the numbers show
The headline figures all point the same way. Revenue of $532.6 million versus $392.2 million a year ago and $445.5 million sequentially. GAAP gross profit of $192.5 million against $120.5 million in the prior-year quarter and $147.6 million in the second quarter of 2026.
Non-GAAP adjusted net income was $54.5 million, compared with $17.2 million a year earlier and $32.5 million sequentially. EBITDA came in at $89.7 million, or 16.8% of revenue, versus $46.6 million, or 11.9% of revenue, in the third quarter of 2025 and $83.5 million, or 18.7% of revenue, in the prior quarter.
The sequential EBITDA margin dip — 18.7% to 16.8% — sits alongside higher revenue, reflecting the cost base added by the ElevATE acquisition and the convertible notes interest line. Operating expenses on a GAAP basis were $129.1 million, or 24.2% of revenue, versus $108.9 million, or 27.8% of revenue, a year ago. Operating expense as a share of sales fell even as the absolute figure rose.
Cash generation was strong. Operating cash flow was $97.2 million, free cash flow $43.9 million after $53.2 million of capital expenditures, and net cash flow positive $134.1 million, which includes roughly $35 million for the stock buyback program. The company ended the quarter with about $578 million in cash, cash equivalents, restricted cash and short-term investments, against total debt of approximately $405 million, including $364.9 million from the convertible notes net of issuance costs. Working capital was about $1.1 billion.
Analysis — what it means for markets and sectors
Diodes' results feed directly into the analog and power semiconductor read-through. Automotive content growth and AI-adjacent computing demand are the two demand engines the company named. Suppliers exposed to those end markets — automotive electrification, data-center power delivery, and automated test equipment — face a more constructive demand signal than the broader consumer electronics cycle implies.
The ATE angle is the newest. ElevATE's integrated circuits serve test equipment, which sits upstream of advanced chip manufacturing. If ATE demand holds, it corroborates the capital spending cycle in leading-edge fabrication rather than contradicting it.
The counter-argument is worth stating plainly. Diodes' margin expansion came partly from factory loading and pricing, both of which can reverse if end-market demand softens or if inventory builds at customers. The report itself lists cyclical downturns in the semiconductor industry and changes in end-market demand or product mix among its risk factors.
Another limitation: the results are preliminary and unaudited, subject to the company finalizing closing procedures and completing the quarterly review by its independent registered public accounting firm. They can be revised until Diodes files its Form 10-Q.
On positioning, the company's own buyback — roughly $35 million in the quarter — puts corporate flow on the bid. The convertible notes due 2031, issued at a 0.00% coupon, leave the debt stack cheap but introduce potential future dilution if the conversion feature is exercised.
Outlook — what to watch next
Management guided fourth-quarter revenue to approximately $550 million, plus or minus 3%, representing a 40.4% increase year over year and a 3.2% increase sequentially at the midpoint. Non-GAAP gross margin is expected at 37.0%, plus or minus 1%, an 80 basis point sequential expansion at the midpoint. Non-GAAP adjusted EPS is guided to $1.35, plus or minus $0.10.
The company also said it expects full-year revenue to rise approximately 30% over 2025 at the midpoint, well above its stated historical compound annual growth rate of 10%. That full-year framing matters more than any single quarter because it implies the fourth quarter is not a one-off peak.
Two dated catalysts are in the report. The Form 10-Q filing for the quarter ended 30 September 2026 will confirm or revise the preliminary figures. A conference call replay remains available until 12 November 2026. The company did not disclose the timing of the 10-Q filing or the conversion terms of the notes beyond the 0.00% coupon and 2031 maturity.
Frequently Asked Questions
What does Diodes' Q3 2026 earnings beat mean for retail investors?
It means the company's operating use is working: revenue rose 35.8% year over year while GAAP gross margin expanded 540 basis points to 36.1%. Non-GAAP EPS of $1.18 more than tripled from $0.37. Guidance points to further sequential margin expansion in the fourth quarter. The results are preliminary and unaudited, so the Form 10-Q filing is the confirmation point to watch.
Why did Diodes' gross margin rise so much year over year?
The company attributed the gain to higher loading at its manufacturing facilities, improved product mix and pricing. Capacity investments made over the past year came online, and the resulting volume absorbed fixed costs. GAAP gross margin went from 30.7% to 36.1%, and non-GAAP gross margin was 36.2% after excluding $0.4 million of inventory accounting tied to the ElevATE acquisition.
What happens next for Diodes after the ElevATE acquisition and convertible notes?
Diodes closed the ElevATE Semiconductor acquisition and issued $375 million of 0.00% convertible senior notes due 2031 in the quarter. Both expand the company's product reach and balance sheet. The convertible notes carry no coupon but could dilute shareholders if converted. The company has not disclosed conversion terms, and the Form 10-Q will provide the next financial detail.
Bottom Line
Diodes delivered record revenue and 219% non-GAAP EPS growth, and its fourth-quarter guidance implies the margin expansion is not finished.
