Tronox Holdings plc (NYSE:TROX) reported third-quarter 2026 revenue of $827 million on 4 November 2026, an 18% increase from $699 million a year earlier, while swinging to a net loss attributable to the company of $55 million, or $0.34 per diluted share. Adjusted EBITDA rose 36% to $101 million, a 12.2% margin. The company now expects full-year 2026 free cash flow to be a use of $25 million to $50 million.
Context — Why Tronox's Q3 Results Matter Now
The quarter's headline numbers landed inside the guidance range Tronox had previously published, and the company described the results as "in-line with prior guidance." That stability matters for a cyclical chemicals producer whose earnings are tightly tied to titanium dioxide pigment pricing and mineral sands volumes.
The sequential picture is less comfortable. Revenue slipped 5% from the second quarter's $868 million, and TiO2 sales alone fell 7% quarter over quarter to $653 million. Management attributed the decline to an 11% drop in sales volumes, partly offset by a 4% increase in average selling prices including mix.
Tronox's CEO, John Romano, pointed to what the company called an unforeseen prolonged conflict in the Middle East. That disruption, he said, caused broader macro uncertainty, unfavorably impacted third-quarter demand, and drove supply chain disruptions that raised raw material input costs, including natural gas, sulfur, and sulfuric acid.
The cost pressure arrived even as pricing improved. Romano said increases announced in the second quarter were successfully implemented in the third quarter, supported by antidumping initiatives and evolving industry supply dynamics. He also cited the reinstatement of anti-dumping duties in India and the European Union's launch of an anti-absorption investigation as steps toward a more level competitive environment.
That combination, firm pricing against rising input costs, is the central tension in these results. It explains why revenue grew 18% year over year while the bottom line remained negative, and why free cash flow generation stalled at just $5 million for the quarter.
Data — The Numbers Behind Tronox's Q3 2026
The revenue breakdown shows the two core product lines moving in different directions. TiO2 revenue of $653 million rose 19% year over year on a 10% volume increase and a 9% price/mix increase. Zircon revenue of $93 million jumped 58% on a 49% volume increase and a 9% price/mix increase.
Other products revenue of $81 million fell 10% year over year, which the company attributed to lower sales volumes. Sequentially, that category rose 14% on higher volumes.
| Metric | Q3 2026 | Q3 2025 | Q2 2026 |
|---|---|---|---|
| Revenue | $827M | $699M | $868M |
| TiO2 revenue | $653M | $550M | $700M |
| Zircon revenue | $93M | $59M | $97M |
| Income from operations | $12M | -$43M | -$21M |
| Net loss attributable to Tronox | -$55M | -$99M | -$171M |
| Adjusted EBITDA | $101M | $74M | $73M |
| Adjusted EBITDA margin | 12.2% | 10.6% | 8.4% |
| Free cash flow | $5M | -$137M | $60M |
The balance sheet carries $3.2 billion of total debt and $3.1 billion of net debt, a net leverage ratio of 10.5x on a trailing twelve-month basis. Available liquidity totaled $509 million, comprising $136 million in cash and cash equivalents and $373 million under revolving credit agreements.
The company said its next significant debt maturity is not until 2029, that it has no financial covenants on its term loans or bonds, and that it does not expect to trigger the springing covenant on its US revolving credit facility. Capital expenditures were $57 million for the quarter.
Analysis — What Tronox's Results Signal for Chemical and Materials Markets
The 10.5x net leverage ratio is the number credit-sensitive investors will focus on. With $3.1 billion of net debt against $101 million of quarterly Adjusted EBITDA, the ratio reflects depressed earnings rather than a near-term maturity wall, since the company has no significant maturities until 2029.
The free cash flow trajectory is the sharper concern. Tronox generated $60 million in the second quarter and just $5 million in the third, and now guides to a full-year use of $25 million to $50 million. That swing reflects both weaker expected fourth-quarter volumes and higher input costs, roughly $15 million to $20 million of which the company attributes to natural gas, sulfur, and sulfuric acid.
Pigment producers and downstream coatings, plastics, and paper manufacturers are directly exposed to TiO2 pricing. Tronox's ability to hold third-quarter price gains into the fourth quarter is the key variable for whether margin recovery continues. The company said it expects those gains to be sustained and zircon pricing to rise sequentially in the mid-single-digit percentage range.
The counter-argument is that pricing gains may not fully offset volume declines. Tronox expects fourth-quarter TiO2 volumes to fall sequentially in the high-single to low double-digit percentage range, citing seasonality and lower demand in Europe and Asia Pacific. If input costs stay elevated while volumes fall, the margin improvement could reverse.
On positioning, the stock sits in a challenged cyclical with high use and negative free cash flow guidance. Investors holding for the rare earths optionality are betting on a multi-year platform build rather than near-term cash generation. The company's cooperation and investment agreement with JX Advanced Metals, under which the two will fund roughly $32 million on a 50/50 basis for feasibility studies on an Australian cracking and leaching facility and a US refinery, is a long-dated catalyst.
Outlook — What to Watch in Tronox's Q4 2026
The most immediate catalyst is the fourth-quarter earnings report, expected in early 2027, which will show whether the guided $80 million to $90 million of Adjusted EBITDA materializes. The company also guided to positive free cash flow of $20 million to $45 million in the fourth quarter.
Investors should watch the cost improvement program. Tronox said it remains on track to deliver more than $175 million of run-rate savings by the end of 2026, exceeding the high end of its original target, and plans to set similar targets for 2027 and 2028.
Input costs tied to the Middle East conflict are the swing factor. The company said the conflict has continued longer than anticipated, driving roughly $15 million to $20 million of higher-than-expected input costs in the fourth quarter. Any easing of those pressures, or their persistence, will shape the 2027 outlook.
Tronox also said it is reducing anticipated capital expenditures by approximately $30 million for full year 2026. The company did not disclose the specific line items affected by that reduction.
Frequently Asked Questions
What does Tronox's $55 million quarterly loss mean for shareholders?
The loss reflects weak demand and elevated input costs rather than a liquidity crisis. Tronox ended the quarter with $509 million of available liquidity and no significant debt maturities until 2029. The company paid no common dividend increase and did not announce a dividend cut. The loss per share of $0.34 compares with a $0.63 loss per share in the year-ago quarter, so the deficit narrowed year over year.
Why did Tronox's free cash flow fall to just $5 million in Q3?
Free cash flow fell because earnings were consumed by higher raw material costs and working capital needs. The company generated $60 million in the second quarter but only $5 million in the third. Management cited supply chain disruptions and weaker demand from the Middle East conflict. Tronox now expects full-year 2026 free cash flow to be a use of $25 million to $50 million.
