Toro Corp. (NASDAQ: TORO) reported net income of $0.6 million for the three months ended June 30, 2026, down 60.9% from $1.4 million a year earlier, the Cyprus-based energy transportation provider announced on Oct. 9, 2026. Total vessel revenues from continuing operations rose 71.3% to $7.0 million from $4.1 million. The shares traded at $5.48 as of 13:09 UTC today, up 8.09%, within a session range of $5.08 to $5.56. For the six months ended June 30, 2026, net income was $1.1 million against $3.0 million a year earlier.
Context — Why Toro's Revenue Growth Did Not Reach the Bottom Line
The report gives the prior-year comparatives directly. Second-quarter revenue of $7.0 million versus $4.1 million, and first-half revenue of $12.9 million versus $9.6 million, show the top line expanding while profit contracts. Net income from continuing operations fell to $0.6 million from $1.4 million in the quarter, and to $1.1 million from $2.9 million over six months.
Toro's fleet mix explains much of the divergence. The company added MR tanker vessels in the third quarter of 2025, and those ships earn higher contractual hire rates but also carry higher daily operating costs than the LPG carriers they sit alongside. Average daily vessel operating expenses rose to $6,550 in the quarter from $5,243 a year earlier.
General and administrative expenses nearly doubled, to $3.1 million from $1.6 million. Toro attributed the increase mainly to stock-based compensation for unvested shares under its equity incentive plans, which ran $1.6 million in the quarter versus $0.8 million a year earlier.
Depreciation also climbed, to $1.4 million from $0.9 million, largely on the M/T Wonder Altair and M/T Wonder Maia. Voyage expenses rose to $0.7 million from $0.2 million, with the company pointing to higher European Union Allowance costs.
The company completed the spin-off of its LPG carrier business on Oct. 8, 2026, one day before this earnings release, distributing AI OKTO CORP. shares to holders on a one-for-eight basis. Toro retained 5,000,000 Series A Convertible Preferred shares of AI OKTO.
Data — What the Numbers Show
The operational picture improved on rates. Average daily time charter equivalent earnings reached $17,145 in the second quarter, up from $11,492 a year earlier, on available days of 364 versus 335. Fleet utilization held at 100% in both periods.
| Metric | Q2 2026 | Q2 2025 |
|---|---|---|
| Total vessel revenues | $7.0M | $4.1M |
| Net income (continuing ops) | $0.6M | $1.4M |
| EBITDA (continuing ops) | $1.7M | $1.3M |
| Basic EPS (continuing ops) | $(0.129) | $0.015 |
| Daily TCE Rate | $17,145 | $11,492 |
EBITDA from continuing operations rose to $1.7 million from $1.3 million in the quarter, and to $3.1 million from $2.2 million over six months, even as net income fell. The gap reflects the non-cash charges sitting above the EBITDA line.
Basic and diluted loss per common share from continuing operations came to $(0.129) in the quarter, against earnings of $0.015 a year earlier. Over six months the figure was $(0.160) versus $0.034. The share count expanded sharply after the special dividend, which was settled partly in stock.
Cash and restricted cash stood at $80.2 million on June 30, 2026, down from $87.4 million at the end of 2025. The decline reflected $13.1 million of special dividend payments, partially offset by $7.3 million of operating cash flow from continuing operations.
The report did not disclose any peer or sector comparison figures.
Analysis — What It Means for Shipping Equity Holders
The earnings line and the EBITDA line point in opposite directions, and that split matters for how the quarter should be read. Net income fell 60.9% while EBITDA rose 34% on the same continuing-operations basis, which places the drag in depreciation, stock-based compensation and voyage costs rather than in vessel economics.
The equity move tells a related story. TORO traded at $5.48 as of 13:09 UTC today, up 8.09%, and near the top of a $5.08 to $5.56 range. The stock is changing hands well above the $3.8821 reference price used to settle the share-based portion of the special dividend, a level set from the 20-day volume-weighted average through April 21, 2026.
The counter-argument is dilution. The June 5 dividend paid out 5,707,246 common shares alongside $3.8 million in cash, and Toro had 34,559,330 common shares outstanding as of Oct. 9, 2026. Per-share figures absorbed that increase, which is why EPS turned negative on positive net income to common.
Charter coverage is the offsetting factor. Toro listed the M/T Wonder Maia on a time charter at $34,000 per day with redelivery between April and June 2027, and the M/T Wonder Alasia at $29,500 per day with redelivery between August and November 2027. Those rates sit well above the $17,145 blended quarterly TCE.
The company did not disclose the terms of the AI OKTO preferred stake beyond its stated amount of $5.00 per share.
Outlook — What to Watch Next
Toro's fleet has expanded since quarter-end. The company acquired the M/T Wonder Alasia for $45.9 million, delivered Sept. 17, 2026, and the M/T Wonder Atria for $37.5 million, delivered Sept. 18, 2026, both funded from cash on hand. The Atria is trading in an unaffiliated MR tanker pool, so its earnings will not appear as a fixed charter rate.
Financing has shifted toward debt. Toro drew $10.0 million on its revolving facility on Sept. 11, 2026, and $38.8 million on Oct. 1, 2026, leaving $48.8 million outstanding as of Oct. 9, 2026. A separate $22.5 million facility, secured by a mortgage on the Wonder Alasia, was fully drawn on Oct. 1, 2026 and carries a five-year tenor at Term SOFR plus a margin.
The AI OKTO shares now trade separately under the symbol AIOK on the Nasdaq Capital Market. Toro shareholders received one AIOK share per eight TORO shares held as of Oct. 1, 2026.
Watch whether the two new MR tankers lift third-quarter revenue enough to offset the added depreciation and interest expense. The $5.56 session high from today's range is the nearest reference point the market has set.
Frequently Asked Questions
Why did Toro Corp's net income fall while revenue rose?
Revenue rose 71.3% to $7.0 million on higher charter rates and more available days, but three cost lines grew faster. General and administrative expenses nearly doubled to $3.1 million on stock-based compensation, depreciation rose to $1.4 million, and voyage expenses quadrupled to $0.7 million on higher EU Allowance costs. Those items outweighed the revenue gain.
What does the AI OKTO spin-off mean for Toro shareholders?
Toro distributed all AI OKTO common shares to its holders on a pro rata basis on Oct. 8, 2026, with one AIOK share issued for every eight TORO shares held as of Oct. 1, 2026. Toro kept 5,000,000 AI OKTO Series A Convertible Preferred shares at a $5.00 stated amount, so it retains exposure to the LPG business without consolidating the carriers.
How much did the special dividend dilute Toro's share count?
Toro declared a $0.90 per share special dividend on April 22, 2026, payable in cash or stock. Shareholders elected to receive $3.8 million in cash and 5,707,246 common shares, priced at $3.8821 per share. That share issuance is why basic and diluted EPS from continuing operations turned negative at $(0.129) despite positive net income.
Bottom Line
Toro's revenue and EBITDA both grew, but dilution and non-cash charges pushed per-share earnings negative, leaving the spin-off and new tankers as the story to trade.
